The undersigned recognizes that the Partnership is relying on the truth and accuracy of such information in complying with its obligations under applicable United States immigration laws and regulations. The undersigned agrees to notify the General partner promptly of any changes in the foregoing information which may occur prior to the investment. The Undersigned further agrees to indemnify the Partnership, and their respective partners, employees, and agents (“Agents”) and hold the Partnership and its Agents harmless from and against any and all liability, damage, cost or expense incurred on account of or arising out of: (1) any inaccuracy in the undersigned’s declaration, representations, and covenants set forth herein; and (2) any action, a suit, or proceeding based upon the claim that said declaration, representations, or covenants were inaccurate or misleading or otherwise cause for obtaining damages or redress from the Partnership, or its Agent, or any part thereof.
